Terms of Service

1. Acceptance of the Terms

These Terms of Service ("Terms") are entered into by and between you and Ameranth, Inc. ("Ameranth," "we," "us," or "our") and govern your access to and use of the MyAIConcierge mobile app (including the iOS app wrapper), the BlueLight Specials experience, www.myaiconcierge.com, and any related websites, apps, content, functionality, and services that link to these Terms (collectively, the "MyAIConcierge Services").

By accessing or using the MyAIConcierge Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the MyAIConcierge Services.

2. Eligibility, Accounts, and Security

To create an account, you must be at least 18 years old, reside in the United States or its territories or possessions, be in good standing, and not have been previously barred from using the MyAIConcierge Services. Ameranth is based in the State of California in the United States, and the MyAIConcierge Services are offered for use in the United States only.

Account creation and sign-in currently use phone number verification with SMS one-time codes through our authentication provider. You agree that all registration and profile information you provide is accurate, current, and complete. You are responsible for keeping one-time codes, sessions, devices, and other account security procedures confidential. Your account is personal to you and non-transferable.

You may delete your account from the Daily profile or settings screen in the mobile app. Account deletion permanently removes your account and associated personal data from our systems as described in the Privacy Policy, subject only to limited legally required or security-related retention.

3. Access, Availability, and Updates

We may withdraw, amend, suspend, restrict, update, or discontinue all or part of the MyAIConcierge Services in our sole discretion without notice. We will not be liable if any part of the MyAIConcierge Services is unavailable at any time or for any period.

We may provide app or service updates, upgrades, bug fixes, patches, error corrections, and new features. Updates may modify or delete features and may install automatically depending on your device settings.

4. Intellectual Property and Feedback

The MyAIConcierge Services, including software, designs, text, graphics, images, recommendations, interfaces, trademarks, service marks, and other content, are owned by Ameranth, its licensors, or other providers and are protected by intellectual property laws.

Subject to these Terms, Ameranth grants you a limited, revocable, non-exclusive, non-transferable license to access and use the MyAIConcierge Services for your personal, non-commercial use.

If you submit ideas, feedback, suggestions, proposals, or other communications recommending changes to the MyAIConcierge Services ("Idea Submissions"), you agree that Ameranth may, in its discretion, use those Idea Submissions, and all related intellectual property rights, for any purpose and for as long as we choose, without any payment, compensation, attribution or other obligation to you. You represent and warrant that the Idea Submissions do not contain any type of confidential or proprietary information.

5. User Input, Posts, and Content Standards

The MyAIConcierge Services may allow you to provide preferences, profile information, reviews, comments, messages, prompts, saved places, selected contacts, or other materials ("User Contributions"). You are responsible for User Contributions you submit and represent that you have all necessary rights to provide them.

You grant Ameranth and our service providers a license to host, use, reproduce, modify, perform, display, distribute, and otherwise process User Contributions as necessary to provide, improve, protect, and operate the MyAIConcierge Services, including processing by third-party AI, maps, messaging, payment, and hosting providers as described in the Privacy Policy.

User Contributions must not be unlawful, defamatory, obscene, abusive, harassing, violent, hateful, discriminatory, deceptive, fraudulent, infringing, invasive of privacy or publicity rights, or otherwise objectionable.

6. Prohibited Uses and Enforcement

The MyAIConcierge Services are intended for use in connection with hospitality industry (e.g., restaurants, hotels, clubs, bars, cruise lines, airlines, sports, music, theatre and concerts) products, services and information. You agree not to use the MyAIConcierge Services for purposes outside of such intended scope.

Subject to the foregoing, you may use the MyAIConcierge Services only for lawful purposes and in accordance with these Terms. You must not interfere with the operation, security, integrity, or availability of the MyAIConcierge Services or use or exploit them to impersonate others, send spam, exploit minors, violate rights, cause damage, or violate law.

You must not use robots, scrapers, crawlers, automated tools, or similar means to access, copy, monitor, harvest, reverse engineer, decompile, disassemble, or attempt to derive source code from the MyAIConcierge Services, except as permitted by applicable law.

You must not engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the MyAIConcierge Services, or which, as determined by us, may harm Ameranth, third parties or users of the MyAIConcierge Services, or expose them to liability.

We may remove content, suspend or terminate accounts, disclose information to law enforcement, or take other action we deem necessary or appropriate, subject to applicable law, if we believe these Terms have been violated or if we believe any conduct creates risk for Ameranth, users, third parties, or the MyAIConcierge Services.

7. Trademarks and Copyright

You must not use any trademark, service mark or logo of Ameranth without the prior written permission of Ameranth. All other names, logos, product and service names, designs, and slogans on the MyAIConcierge Services are the trademarks or service marks of their respective owners.

In accordance with U.S. law and, in particular, the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"), Ameranth has implemented procedures for receiving written notification of claimed copyright infringements. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the MyAIConcierge Services, please notify our copyright agent, as set forth below. For your notice to be effective under the DMCA, you, as a complaining party, must provide all of the following information in writing to our copyright agent:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works at the Service.
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that you request to be removed or access to which be disabled, and information reasonably sufficient to permit Ameranth to locate the material.
4. Information reasonably sufficient to permit Ameranth to contact the complaining party, such as an address, telephone number, and, if available, an email address at which the complaining party may be contacted.
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Please note that this procedure is exclusively for notifying Ameranth that your copyrighted material has been infringed. The preceding requirements are intended to comply with Ameranth's rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws.

If you believe that a notice of copyright infringement has been improperly submitted against you, you may submit a counter-notice, pursuant to Sections 512(g)(2) and (3) of the DMCA. Please submit any counter-notice in writing to Ameranth's copyright agent listed above.

In accordance with the DMCA and other applicable law, Ameranth has adopted a policy of terminating, in appropriate circumstances and at Ameranth's sole discretion, users who are deemed to be repeat infringers. Ameranth may also at its sole discretion limit access to the MyAIConcierge Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

8. Reliance on Information and Artificial Intelligence

The MyAIConcierge Services may provide recommendations, summaries, restaurant or event information, offers, directions, availability, etc., including text, images and other content generated by AI, or other AI-assisted output ("AI-Output"). The MyAIConcierge Services may also display or make available content, offers and other information originating from third-parties ("Third-Party Information"). AI-Output and Third-Party Information is provided for general informational and convenience purposes only.

AI-Output and Third-Party Information may be incomplete, outdated, inaccurate, unavailable, or inappropriate for your circumstances. You are responsible for independently verifying all such output and information before relying on it for purchases, reservations, travel, or any other decisions.

When you use AI features of the MyAIConcierge Services, the MyAIConcierge Services may send your prompts, messages, chats, and relevant preference or location information to third-party AI providers (including Google Gemini and OpenAI) to generate responses or provide other AI-generated content or AI-enabled features and services. By creating an account or using the MyAIConcierge Services, you understand and agree that your communications and other such information may be sent to such third-party AI providers. Additional detail is in the Privacy Policy.

9. Vendor Offerings, Purchases, and External Checkout

The MyAIConcierge Services may display or link to restaurants, hotels, venues, events, offers, gift cards, tickets, reservations, ordering services, delivery services, or other goods and services from independent vendors, merchants, payment processors, and other third parties ("Vendor Offerings").

Vendor Offerings are provided by independent third parties, not Ameranth, even though we may refer to such third parties as our "partners", "business partners" or other similar terms. We do not control and are not responsible for the quality, safety, legality, availability, pricing, fulfillment, refunds, or performance of Vendor Offerings. Any transaction between you and a third party is between you and that third party, and subject to the terms and conditions as specified by the third party. The applicable vendor or other third party is solely responsible for any and all injuries, illnesses, damages, claims, liabilities and/or costs ("Liabilities") it may cause you to suffer, directly or indirectly, in full or in part, related to the goods or services or other Vendor Offerings it provides to you. Ameranth does not investigate or vet such vendors or other third parties, and Ameranth is not responsible for any claims associated with the description of the Vendor Offerings. You should conduct any investigation you deem necessary or appropriate on a Vendor Offering before purchasing the offering or engaging in any other transaction.

Some gift cards, reservations, orders, tickets, offers, or other Vendor Offerings may open an external website or payment provider such as Stripe. These purchases are for real-world goods or services, not digital content consumed inside the app and not app features unlocked in the app. Apple is not a sponsor of, involved in, or responsible for such third-party purchases, payment processing, fulfillment, refunds, or support. The MyAIConcierge Services do not use Apple In-App Purchase for these real-world goods or services.

Gift-card and checkout controls are not offered inside the current MyAIConcierge iOS app. Restaurant ordering and reservation links may still open an external provider for real-world goods or services.

If you make a purchase or engage in any other transaction in connection with a Vendor Offering, you may be asked to provide certain information relevant to the transaction, such as your credit card or other payment card information, billing address and other contact information. By providing such information, you authorize us to disclose or make the information accessible to third parties, such as vendors or third-party payment processing service providers, in order to facilitate and complete your transaction.

Waiver and Release:

You waive and release Ameranth and its officers, directors, employees, licensors and agents from any Liabilities arising from or related to any act or omission of a vendor or other third party in connection with the goods, services or other Vendor Offerings it provides.

10. Permissions, Notifications, and Communications

The MyAIConcierge Services may request device permissions such as location (for local recommendations when you choose to share it), contacts (only to let you select a person to invite or share with), and notifications (for opted-in push alerts). The current iOS submission does not require camera, photo library, or microphone access for core Daily features.

If you enable push notifications, email briefs, or SMS-related features, you consent to receive those service communications. You can disable push notifications in device settings, update email preferences in your profile where available, or contact us to unsubscribe from marketing or brief emails where applicable. Transactional or account-related messages may still be sent as needed to operate the MyAIConcierge Services.

Promotional push notifications about deals from restaurants you favorite are off by default and are not required to use the MyAIConcierge Services. If you separately turn on "Deals from your favorites" during onboarding or under Profile → Notifications, you expressly opt in to receive those marketing notifications. You may withdraw that consent at any time by turning the setting off or disabling notifications in your device settings.

11. Links and Third-Party Services

The MyAIConcierge Services may contain links to, or integrate with, third-party websites, applications, maps, reservation providers, payment providers, AI providers, analytics providers, authentication providers, and other services. We do not control those third parties and are not responsible for their content, privacy practices, terms, availability, or performance.

In the iOS app wrapper, external websites, maps, phone, email, SMS, reservations, ordering, and checkout links may open through Safari or the relevant iOS system handler.

12. Disclaimer of Warranties

THE MYAICONCIERGE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, AMERANTH DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMERANTH, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE MYAICONCIERGE SERVICES, ANY WEBSITES OR SERVICES LINKED TO IT, ANY CONTENT ON THE MYAICONCIERGE SERVICES, INCLUDING ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER LOSSES.

THE FOREGOING LIMITATION OF LIABILITY DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO LIABILITY RESULTING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ameranth, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, successors, and assigns from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising out of or relating to your violation of these Terms or your use of the MyAIConcierge Services.

15. Dispute Resolution and Arbitration

BY USE OF THE MYAICONCIERGE SERVICES, YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND AMERANTH (THAT ARE NOT EXCLUDED UNDER THIS DISPUTE RESOLUTION AND ARBITRATION PROVISION) WILL BE RESOLVED BY BINDING ARBITRATION. YOU AND AMERANTH THUS WAIVE (i.e., GIVE UP) THE RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR OR AMERANTH'S RIGHTS IN CONNECTION WITH SUCH DISPUTES. YOU AND AMERANTH ALSO WAIVE THE RIGHT TO PARTICIPATE IN OR BRING CLASS ACTIONS. YOUR AND AMERANTH'S RIGHTS IN CONNECTION WITH SUCH DISPUTES WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY.

This Dispute Resolution and Arbitration provision governs any and all claims or disputes between you and Ameranth (including Ameranth's successors, assigns, and all of its and their officers, directors, managers, employees, and agents, or any and all of them), including but not limited to any claims, disputes, causes of action or controversies arising out of or relating to any aspect of the relationship between you and Ameranth, these Terms or your use of the MyAIConcierge Services, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory ("Dispute" or "Disputes"). The only Disputes excluded from this Dispute Resolution and Arbitration provision are claims related to certain intellectual property rights and small court claims, as provided below.

Before initiating arbitration or a legal proceeding, you and Ameranth agree to try to resolve disputes informally by giving written notice and allowing a reasonable opportunity to resolve the matter. If a Dispute is not resolved informally, you and Ameranth agree that the Dispute will be submitted to and resolved by binding arbitration administered by the American Arbitration Association (https://adr.org/) ("AAA"), except for disputes excluded below. The arbitration shall be held before one arbitrator. The arbitrator shall be selected pursuant to the AAA rules. Should no AAA rule regarding the selection of an arbitrator be in effect, you shall select an arbitrator from a panel of arbitrators acceptable to Ameranth.

If you are a "Consumer," meaning that you only use the MyAIConcierge Services for personal, family, or household purposes, the then-current version of the AAA's Consumer Arbitration Rules (supplemented by AAA's Mass Arbitration Supplementary Rules, if applicable) are the rules applicable to Disputes between you and Ameranth as modified by this Dispute Resolution and Arbitration provision. If you are not a Consumer, the then-current version of the AAA's Commercial Arbitration Rules and Mediation Procedures are the rules applicable to Disputes between you and Ameranth as modified by this Dispute Resolution and Arbitration provision. You or Ameranth may initiate arbitration of any Dispute by following the applicable AAA rules. No claim or Dispute may be brought as a class action or as a private attorney general.

The arbitration will be conducted by videoconference, if possible, but if the arbitrator determines a hearing should be conducted in person, the location will be mutually agreed upon, in the county where you reside, or as determined by the arbitrator, unless the Mass Arbitration process described below applies.

Mass Arbitration:

If 25 or more Consumers represented by the same, similar or coordinated counsel file demands for arbitration raising substantially similar Disputes, and otherwise fall within the scope of "Mass Arbitrations" under AAA's Mass Arbitration Supplementary Rules, then you and Ameranth agree that such AAA Mass Arbitration Supplementary Rules will apply and shall supplement the otherwise applicable AAA arbitration rules. AAA will administer each Mass Arbitration as a single consolidated arbitration with one arbitrator (although AAA may appoint an initial separate "Process Arbitrator" pursuant to applicable rules), one set of arbitration fees, and a hearing held by videoconference, unless AAA or the arbitrator determines an in-person hearing is required, in which case the hearing will be held in a location decided by AAA or the arbitrator. If any part of this Mass Arbitration provision is found to be invalid or unenforceable as to a particular claimant or Mass Arbitration, it will be severed and arbitrated in individual proceedings.

Disputes Excluded from Arbitration:

Either party may bring claims concerning theft, piracy, infringement, misappropriation, or unauthorized use of intellectual property in court or before relevant intellectual property offices. Either party may also seek relief in small claims court for disputes within that court's jurisdiction.

30-Day Right to Opt Out of Arbitration:

You may opt out of this arbitration provision within 30 days of first agreeing to these Terms by sending written notice to Ameranth, Inc., 12481 High Bluff Drive, Suite 300, San Diego, CA 92130, including your name and contact information.

16. Governing Law and Jurisdiction

These Terms and all matters relating to the MyAIConcierge Services are governed by the internal laws of the State of California, without giving effect to any conflict of law provision. Legal proceedings not subject to arbitration or small claims court will be instituted exclusively in the state or federal courts located in San Diego, California, except that Ameranth may bring proceedings against non-U.S. users in their country of residence or another relevant country.

17. Waiver, Severability, and Entire Agreement

No waiver by Ameranth of any term or condition is a further or continuing waiver of that term or any other term. If any provision is held invalid, illegal, or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in effect.

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Ameranth regarding the MyAIConcierge Services and supersede prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the MyAIConcierge Services.

18. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. Changes are effective when posted, except that changes to arbitration or governing law provisions will not apply to disputes for which the parties had actual notice before the change was posted. Your continued use of the MyAIConcierge Services means that you accept the updated Terms.
